Wingtech Says Hasn’t Heard Back From Nexperia’s Dutch HQ After Seeking Talks on Shareholder Control(Yicai) Nov. 24 -- China’s Wingtech Technology has not yet received a response from the Dutch headquarters of its chipmaking subsidiary Nexperia after calling for talks to resolve the outstanding issue of shareholder control.
Nexperia’s HQ in Nijmegen, the Netherlands “has not made any substantive response to our proposal for communication,” Jiaxing-based Wingtech said in a statement released late yesterday.
It should put forward a constructive and sincere solution on how to restore Wingtech's legitimate control and full shareholding rights over Nexperia based on facts and the law, Wingtech said.
“We have always believed that resolving differences through frank dialogue is the practical and correct way to ensure the company’s normal operation and the stability of global chip supply," the firm added.
On Nov. 19, the Dutch economy minister announced the suspension of a ministerial order that had put Nexperia under government control. Later the same day, Wingtech said it still had not regained full authority over the chipmaker because a Dutch court order of Oct. 7 curbing its governance rights remained in force. Wingtech added that it would use all possible legal means to recover control.
The ministerial order, issued on national security grounds on Sept. 30, required Nexperia and its 30 global entities, including subsidiaries, branches, and offices, not to make any changes to their assets, intellectual property, business, or personnel for a year.
The court order that followed from the Enterprise Chamber, a special division of the Amsterdam Court of Appeal, included emergency measures such as removing Wingtech founder Zhang Xuezhang as an executive director of Nexperia and entrusting the Nexperia shares held by a Wingtech unit to an independent third party via a fiduciary arrangement.
"The Dutch Ministry of Economic Affairs is obligated to thoroughly and comprehensively resolve the issue of Nexperia," Wingtech said on Nov. 19.
Wingtech's shares [SHA: 600745] closed down 3.6 percent at CNY40.84 (USD5.75) each today. The benchmark Shanghai Composite Index ended little changed.
The Dutch government's intervention in Nexperia led to Wingtech's shares falling by their daily trading limit for two days in a row early last month, lopping 26 percent off their value. The stock began to pick up from Oct. 15, narrowing the retreat to 12.5 percent.
