Shanghai Cathay Biotechnology Co., Ltd. (hereinafter referred to as the "Company") was convened on April 14, 2025

At the 29th meeting of the second session of the board of directors, the "Proposal on the Appointment of the Vice President of the Company" and the "Proposal on the Appointment of the Chief Financial Officer of the Company" were reviewed and approved, and it was agreed to appoint Mr. Zeng Yuan as the vice president of the company (see the attachment for details of Mr. Zeng Yuan's resume), and agreed to appoint Ms. Yang Wenying as the company's chief financial officer (see the attachment for details of Ms. Yang Wenying's resume), and the term of office will be from the date of deliberation and approval of the board of directors to the date of expiration of the term of the second board of directors.
