Resolution of the first special meeting of independent directors of the fourth session of the board of directors

On April 1, 2025, SRP Microelectronics Technology (Suzhou) Co., Ltd. (hereinafter referred to as the "Company")

The first special meeting of independent directors of the fourth session of the board of directors was held in the form of on-site communication and communication. There shall be 3 independent directors participating in the meeting, and 3 independent directors shall actually participate in the voting, which shall meet the relevant requirements of the Company Law of the People's Republic of China, the Articles of Association of SRP Microelectronics Technology (Suzhou) Co., Ltd. and the Working System of the Special Meeting of Independent Directors of SRP Microelectronics Technology (Suzhou) Co., Ltd.

After the election of more than half of the independent directors, the meeting was convened and presided over by Pan Fei, an independent director of the company, and all the independent directors participating in the meeting voted by a show of hands, and deliberated and passed the "Proposal on the Company's Participation in the Subscription of Private Equity Fund Shares and Related Party Transactions".

After review, the independent directors believe that the decision-making procedures for the company's participation in the subscription of private equity fund shares and related party transactions comply with the provisions of the "Rules for the Listing of Stocks on the Science and Technology Innovation Board of the Shanghai Stock Exchange" and other laws and regulations and the "Articles of Association". The transaction follows the market principles of fairness, impartiality and reasonableness, and there is no harm to the interests of the company and all shareholders, especially small and medium-sized shareholders. The subscription of private equity fund shares will help the company expand investment channels and improve the efficiency of capital use, which is in line with the company's development strategy and overall interests.

We unanimously agreed to submit the company's participation in the subscription of private equity fund shares and related party transactions to the board of directors of the company for deliberation.
